These Terms of Use ("Terms") govern your access to and use of the Site and all related services, features, and content (collectively, the "Service"). IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SERVICE. YOU MUST BE AT LEAST 18 YEARS OLD TO USE THE SERVICE. IF YOU ARE USING THE SERVICE ON BEHALF OF AN ORGANIZATION, YOU REPRESENT AND WARRANT THAT YOU HAVE THE AUTHORITY TO BIND THAT ORGANIZATION TO THESE TERMS. PLEASE NOTE THAT SECTION 10 CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. BY AGREEING TO THESE TERMS, YOU AGREE TO RESOLVE MOST DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION AND WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS. YOU MAY OPT OUT OF THE ARBITRATION AGREEMENT WITHIN 30 DAYS AS DESCRIBED IN SECTION 10. 1. DESCRIPTION OF SERVICE ToolsEdu is an AI-powered educational content creation and gamification platform. The Service allows users to: - Create AI-generated educational worksheets in various formats, including multiple choice, crossword, word search, fill the gaps, matching, and scramble - Organize worksheets into lessons and courses - Share content with students via playable links - Track gameplay results, scores, and leaderboards - Manage teams and organizations with role-based access (admin, manager, member) - Access the Service in English and Spanish The specific features, functionality, and content available through the Service may change from time to time at our sole discretion. 2. ACCOUNTS 2.1. Registration. To use the Service, you must register for an account ("Account") by providing your name, email address, and a password, or by authenticating through Google or Microsoft. You represent that all registration information you provide is accurate, current, and complete, and you agree to keep it updated. 2.2. Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your Account. You agree to notify us immediately at admins@toolsedu.com of any unauthorized use of your Account. We are not liable for any loss or damage arising from unauthorized use of your Account. 2.3. Account Deletion. You may request deletion of your Account at any time by contacting us at admins@toolsedu.com. Upon deletion, your access to the Service will terminate and your data will be handled in accordance with our Privacy Policy. 3. SUBSCRIPTION PLANS AND PAYMENT 3.1. Plans. The Service offers multiple subscription tiers (Free, Basic, Pro, and Unlimited), each with different usage limits and features. Plan details, including pricing and limits, are described on the Site and may change from time to time. 3.2. Free Plan. The Free plan provides limited access to the Service at no cost. Free plan users are subject to daily and weekly usage limits as described on the Site. 3.3. Paid Plans. Paid plans are billed on a monthly or annual basis through our payment processor, Stripe, Inc. ("Stripe"). By subscribing to a paid plan, you authorize us to charge your selected payment method through Stripe for the applicable fees on a recurring basis until you cancel. 3.4. Cancellation and Refunds. You may cancel your subscription at any time through the billing portal accessible from the Service. Cancellation takes effect at the end of your current billing period. We do not provide refunds for partial billing periods unless required by applicable law. 3.5. Price Changes. We may change subscription prices at any time. Price changes for existing subscribers will take effect at the start of the next billing period following notice of the change. 4. ORGANIZATIONS 4.1. Organization Accounts. The Service allows users to create and manage organizations. Organization administrators may invite members, assign roles (admin, manager, member), and manage billing for the organization. 4.2. Administrator Responsibilities. Organization administrators are responsible for managing member access and ensuring that members comply with these Terms. Administrators may remove members and modify roles at any time. 4.3. Organization Data. Content created within an organization may be accessible to other members of that organization depending on role permissions. If you leave or are removed from an organization, you may lose access to content associated with that organization. 5. USER CONTENT AND CONDUCT 5.1. Your Content. You retain ownership of the educational content you create using the Service ("User Content"). By creating User Content, you grant us a non-exclusive, worldwide, royalty-free license to host, store, display, and distribute your User Content solely for the purpose of operating and providing the Service. 5.2. AI-Generated Content. The Service uses artificial intelligence to generate educational content based on your inputs. AI-generated content is provided "as is," and you are responsible for reviewing all generated content for accuracy, appropriateness, and suitability before using or distributing it. 5.3. Prohibited Conduct. You agree not to: (a) Use the Service for any illegal purpose or in violation of any applicable law (b) Generate content that is obscene, defamatory, threatening, harassing, or harmful (c) Attempt to access other users' accounts or data without authorization (d) Interfere with or disrupt the Service or its infrastructure (e) Reverse engineer, decompile, or disassemble any part of the Service (f) Use automated tools (bots, scrapers) to access the Service without our written permission (g) Circumvent usage limits, access controls, or other restrictions on the Service (h) Resell, redistribute, or sublicense access to the Service without our written consent (i) Use the Service to build a competing product or service 5.4. Enforcement. We reserve the right to remove any User Content and suspend or terminate any Account that violates these Terms, at our sole discretion and without prior notice. 6. INTELLECTUAL PROPERTY 6.1. Company IP. The Service, including its design, software, code, features, documentation, trademarks, logos, and all related intellectual property, is owned by the Company or its licensors. These Terms do not grant you any rights to our intellectual property except the limited license to use the Service as described herein. 6.2. Limited License. Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable, limited license to access and use the Service for your personal or internal business use. This license does not include the right to modify, distribute, or create derivative works of the Service. 6.3. Feedback. YOU ACKNOWLEDGE THAT AI-GENERATED EDUCATIONAL CONTENT MAY CONTAIN ERRORS AND THAT YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VERIFYING ALL CONTENT BEFORE USE IN AN EDUCATIONAL SETTING. SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. 9. Informal Resolution. Before initiating any formal dispute proceeding, you agree to first contact us at admins@toolsedu.com and attempt to resolve the dispute informally for at least 30 days. If we cannot resolve the dispute informally, either party may proceed as described below. 10.2. Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") shall be resolved by binding individual arbitration administered by JAMS under its then-current Streamlined Arbitration Rules (for disputes under $250,000) or Comprehensive Arbitration Rules (for all other disputes). The arbitration shall be conducted in the county where you reside or, if mutually agreed, by videoconference. The Federal Arbitration Act, 9 U.S.C. § 1 et seq., governs this arbitration agreement. Exceptions: Either party may bring an individual claim in small claims court. Either party may seek equitable relief in court for intellectual property infringement. 10.3. Class Action Waiver. YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR CONSOLIDATED ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING. 10.4. Jury Trial Waiver. TO THE EXTENT PERMITTED BY LAW, YOU AND THE COMPANY WAIVE THE RIGHT TO A JURY TRIAL FOR ANY DISPUTE ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE. 10.5. Opt-Out. Your notice must include your name, address, and a clear statement that you wish to opt out. 10.6. Batch Arbitration. If 100 or more similar arbitration demands are filed against the Company within a 30-day period by or with the assistance of the same law firm or organization, JAMS shall administer them in batches of 100 (with any remainder forming a final batch). Each batch shall be treated as a single arbitration with one arbitrator, one set of fees, and one final award. 10.7. Governing Law. These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles. Any litigation not subject to arbitration shall be brought exclusively in the state or federal courts located in Sheridan County, Wyoming. 11. INDEMNIFICATION You agree to indemnify, defend, and hold harmless the Company and its officers, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any applicable law or third-party rights. 12. TERM AND TERMINATION 12.1. Term. These Terms remain in effect while you use the Service. 12.2. Termination by You. You may stop using the Service and request Account deletion at any time. 12.3. Termination by Us. We may suspend or terminate your access to the Service at any time, for any reason, including violation of these Terms. We will make reasonable efforts to notify you, but are not required to do so. 12.4. Effect of Termination. Upon termination, your right to access the Service ceases immediately. Sections 5.1, 6, 8, 9, 10, 11, and 13 survive termination. 13. GENERAL PROVISIONS 13.1. Changes to Terms. We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Site. Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms. 13.2. Entire Agreement.
